Terms governing your use of SYNQ

1. Introduction and Acceptance

Welcome to SYNQ. These Terms of Service ("Terms") form a binding agreement between you and Sascha Kissling, operating as a sole proprietorship (Einzelunternehmen) under Swiss law with registered place of business at Grindelstrasse 59b, 8604 Volketswil, Switzerland ("SYNQ", "we", "us"). By creating an account or using our website at joinsynq.ch or our mobile apps, you agree to these Terms and to our Privacy Policy. If you do not agree with any part of these Terms, do not create an account and do not use SYNQ. These Terms apply to both the free tier and any paid subscriptions.

2. Eligibility and Account

You must be at least 16 years old to create an account. This aligns with GDPR Art. 8 (digital consent threshold) and Swiss FADP capacity-of-judgment doctrine. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify admin@joinsynq.ch immediately if you suspect unauthorized access. You agree to provide accurate registration information, keep it current, and not impersonate any other person or use another person's account without permission. Each individual may hold one account. We may refuse registration, suspend, or terminate an account at any time if we reasonably believe the account is in breach of these Terms, is being used to harm others, or is created by a user whose prior account was terminated for cause.

3. License to Use SYNQ

We grant you a personal, revocable, non-exclusive, non-transferable, non-sublicensable license to use SYNQ for non-commercial purposes consistent with these Terms. This license ends automatically when your account is terminated. You may not: reverse-engineer or decompile the app (except to the extent Swiss law expressly permits), scrape or systematically extract content, resell or rent access, create derivative works, remove copyright or trademark notices, or use SYNQ to develop a competing service. All intellectual property in SYNQ — including the name, logo, interface, code, generated content templates, and the platform as a whole — remains ours. Nothing in these Terms transfers ownership to you.

4. User-Generated Content and Community Standards

4.1 Your Content. You retain ownership of content you post — activity descriptions, chat messages, photos, profile information ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, display, reproduce, translate, and distribute Your Content on SYNQ solely to operate the service. This license ends when you delete the content or your account, except for copies retained by other users who received the content before deletion and for backup copies as described in our Privacy Policy. 4.2 Responsibility. You are solely responsible for Your Content. We do not pre-screen content but apply automated moderation and review reports. 4.3 Prohibited Content. You may not post, upload, or transmit content that falls into any of the following categories: • Illegal content — content that violates Swiss, EU, or applicable local law, including incitement to violence, terrorist content, child sexual abuse material (CSAM), or content infringing intellectual property rights. • Hate speech and discrimination — content targeting individuals or groups based on race, ethnicity, nationality, religion, sexual orientation, gender identity, disability, or similar protected characteristics. • Harassment and threats — targeted harassment, bullying, stalking, doxxing, or credible threats of violence against any person. • Sexual content involving minors — any sexual or sexualized depiction of a person under 18, period. • Non-consensual intimate imagery — nude or sexual content of real people shared without clear consent. • Fraud and deception — phishing, scams, pyramid schemes, fake fundraisers, or impersonation intended to mislead. • Dangerous goods and illegal services — promotion or sale of weapons, controlled substances, counterfeit goods, prostitution, or activities causing physical harm. • Spam and commercial exploitation — unsolicited advertising, mass messaging, affiliate-link stuffing, or using SYNQ as a free distribution channel for third-party products. • Malware and abuse of the service — links to malware, phishing pages, or attempts to compromise account security, automate behavior, or disrupt the platform. 4.4 Reports and Response Times. Any user can report content through the in-app report flow. We commit to acting on reports within 24 hours by removing the content and ejecting the offending user when a violation is confirmed. 4.5 Zero Tolerance. Violations of 4.3 may result in immediate account termination without prior warning, forfeiture of any remaining paid subscription period, and referral to law enforcement when required by Swiss or EU law (in particular for CSAM, credible threats, and terrorist content). 4.6 Consent to Automated Moderation. You consent to automated content and image moderation. False positives may occur; you may appeal a removal by writing to admin@joinsynq.ch.

5. AI Features

5.1 What SYNQ uses. SYNQ offers optional AI-powered features — activity drafts, semantic search, chat summaries, neighbor suggestions, and banner image generation. Text features are powered by Google's Gemini; banner image generation is powered by Google's Imagen 4.0. Both run through Google's Vertex AI platform. 5.2 What data is sent. When you invoke an AI feature, the text or image prompt you provide for that specific feature is transmitted to Google's servers for processing. We transmit only the minimum information necessary: we do not send your connections, your private messages to other users, or private profile information to AI services unless you explicitly invoke a feature that requires it. 5.3 How Google handles the data. Google processes this data under its Vertex AI data terms. We do not authorize Google to use SYNQ data to train Google's models. 5.4 Consent. Before any prompt is sent to Google, SYNQ asks for your explicit consent through an in-app modal that names Google Gemini and Google Imagen 4.0 by name. You can revoke consent at any time in Settings → AI Consent. SYNQ's non-AI features remain fully functional if you decline or revoke. 5.5 AI-generated content. Banner images produced via Imagen are labeled "AI-generated" in the UI. You retain ownership of content you post; AI outputs are provided to you subject to Google's Vertex AI model output terms. 5.6 Prompt safety. We apply server-side filtering to prompts before forwarding them to Google (blocks CSAM-adjacent combinations, hate terms, and a live Firestore blocklist) and apply Gemini safetySettings BLOCK_MEDIUM_AND_ABOVE on the harm categories. Imagen is configured with personGeneration: dont_allow. Cloud Vision SafeSearch screens Imagen outputs before storage. Prompts flagged as abusive are logged (truncated) for moderation review.

6. Activities, Circles, and Off-Platform Meetings

SYNQ is a platform for arranging real-world activities. We do not organize, attend, supervise, or certify any activity, venue, or meeting. Every activity is organized by a host user on their own responsibility. Before meeting anyone off-platform, use common sense: meet first in public places, share plans with a trusted person, and do not share home addresses or financial information. We strongly encourage hosts to describe any physical risk associated with their activity (hiking, water sports, alcohol, etc.). You are solely responsible for your conduct at activities and for complying with local law (permits for public events, alcohol service laws, insurance for sports activities, etc.). Disagreements between users about activities, no-shows, or on-the-ground conduct are handled between the users directly. We may review and take moderation action, but we are not party to the underlying dispute.

7. Paid Subscriptions and Billing

Certain features require a paid subscription ("Subscription"). Subscriptions are billed through Stripe for web and through Apple's In-App Purchase system for iOS; pricing and billing cycles are shown at checkout. 7.1 Renewals. Subscriptions renew automatically for successive periods until cancelled. You can cancel at any time from Profile → Settings → Subscription (web) or from the App Store subscription management page (iOS). 7.2 Statutory Right of Withdrawal (EEA/UK/CH consumers). Where applicable consumer law grants a right of withdrawal, you may withdraw within 14 days of purchase by emailing admin@joinsynq.ch. If you request immediate access during that period, you may be charged pro-rata for the portion used. 7.3 Refunds. Outside the statutory withdrawal period, paid subscriptions are non-refundable except where required by law or where we, in our sole discretion, issue a refund. For iOS purchases, refund requests must be submitted to Apple through reportaproblem.apple.com — we cannot process iOS refunds directly. 7.4 Price Changes. We may change Subscription pricing. Changes apply to renewals after a 30-day notice; your active billing cycle is honored at the original price. 7.5 Taxes. Prices include Swiss VAT where applicable. For customers outside Switzerland, Stripe applies local tax where required.

8. Termination

You may terminate these Terms at any time by deleting your account via Profile → Settings → Delete Account. Deletion is irreversible and completes within 24 hours. We may terminate or suspend your account immediately, with or without notice, if: (a) you breach these Terms; (b) your account poses safety, legal, or security risk; (c) we are required to do so by law; or (d) we discontinue SYNQ or a material part of it. On termination: your license to use SYNQ ends; we anonymize Your Content per our Privacy Policy retention rules; any unused portion of a paid Subscription terminated for user breach is forfeited; any refund owed is issued per Section 7. Sections that by their nature should survive termination — including Sections 4 (content license granted before termination), 6 (responsibility for past activity), 9–11 (disclaimers, indemnity, liability), 12 (law and forum), and 14 (miscellaneous) — survive termination.

9. Disclaimer of Warranties

SYNQ is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, error-free operation, or the accuracy, safety, or quality of content posted by other users. We do not warrant the identity, intentions, or safety of any other user. We do not warrant that activities listed on SYNQ will take place, be safe, or meet your expectations. Some jurisdictions do not allow the exclusion of implied warranties; in those jurisdictions the above exclusions apply to the fullest extent permitted by law, and non-excludable statutory warranties remain in force.

10. Indemnification

To the maximum extent permitted by law, you agree to indemnify and hold SYNQ, Sascha Kissling, and any partners harmless from any claim, liability, loss, or expense (including reasonable legal fees) arising out of: (a) your breach of these Terms; (b) Your Content; (c) your use of SYNQ; (d) your participation in any activity arranged through SYNQ; or (e) your violation of any law or third-party right. This indemnity does not apply to claims caused by our gross negligence or willful misconduct, or to claims that cannot be excluded under applicable consumer law.

11. Limitation of Liability

Sascha Kissling, operating as sole proprietor under the business name SYNQ, will not be liable for any indirect, incidental, special, consequential or punitive damages resulting from your access to or use of, or inability to access or use, the services. To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to these Terms or SYNQ is limited to the greater of (a) CHF 100 or (b) the total amount you paid to us in the 12 months before the event giving rise to the claim. Nothing in these Terms limits or excludes liability that cannot be limited under Swiss law, including liability for death or personal injury caused by our gross negligence or willful misconduct, fraud, or any non-excludable consumer rights.

12. Governing Law and Forum

These Terms and any dispute arising from them or from your use of SYNQ are governed by the laws of Switzerland, excluding its conflict-of-law rules and excluding the UN Convention on the International Sale of Goods. The ordinary courts at the seat of SYNQ (currently the district court of Uster, Canton of Zürich) have exclusive jurisdiction, subject to any mandatory consumer-protection forum rules that grant you the right to sue in your place of residence. Before filing a claim, we encourage you to contact admin@joinsynq.ch; most disputes can be resolved quickly by direct communication.

13. Platform Integrity and Apple-Specific Terms

13.1 Service Availability. We may update, modify, or discontinue features at any time, with reasonable notice where material changes affect paid features. 13.2 No Agency. You and SYNQ are independent parties. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship. 13.3 Apple App Store Users. If you access SYNQ through the Apple App Store, the following additional terms apply, as required by Apple's App Store Review Guidelines: • These Terms are between you and SYNQ only, not Apple. Apple is not responsible for SYNQ or its content. • Apple has no obligation to provide maintenance or support for SYNQ. • If SYNQ fails to conform to any applicable warranty, you may notify Apple, who will refund the purchase price (if any) of the app; to the maximum extent permitted by law, Apple has no other warranty obligation. • Apple is not responsible for any third-party claim that SYNQ or your possession of it infringes intellectual property rights; we are responsible for defending such claims. • You represent that you are not located in a country embargoed by the U.S. government or on a U.S. government prohibited-party list. • Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced via in-app notification and by email to the address on your account at least 14 days before they take effect. Non-material changes (clarifications, typographical fixes) take effect on posting. Continued use of SYNQ after the effective date constitutes acceptance. If you do not accept the updated Terms, stop using SYNQ and delete your account before the effective date. The date at the top of this page indicates when the Terms were last updated.
